Venture capital provides resources to startups with high growth potential managed by entrepreneurs who seek not only money to finance their investment projects but also the support provided by the financial intermediary to develop the company. Although it is recognized that these non-monetary contributions from the venture capitalist, often named value-added, have an impact on the development of the company, little is known in Mexico about the nature of these contributions, the role of the venture capitalist and of the entrepreneur, the critical aspects of their relationship, and their practice in general. The current research proposes a substantive theory that explains how the venture capitalist contributes to the development of the financed company in Mexico. This theory arises from interviews with nine venture capitalists, representing nine funds that had made venture capital investments in Mexico at the time of the interviews, and nine entrepreneurs, each of them associated with one of the interviewed venture capitalists. The data from those interviewed were analyzed using a grounded theory methodology and the constant comparative method, allowing the construction of the substantive theory. From the analyzed data emerged five categories or variables that explain the phenomenon of the venture capitalist¿s value added: the certification effect of the venture capitalist upon the company, mainly as a result of the venture capitalist¿s reputation in the industry and his network of contacts; the growth of the company executed by the entrepreneur and accompanied by the venture capitalist; the active participation of the venture capitalist in the development of the company; the venture capitalist¿s investment exit; and the venture capitalist - entrepreneur relationship that modulates the involvement of the venture capitalist in the company. The emerging theory on the issues and challenges faced by the venture capitalist and the entrepreneur in the development of the company is relative to building the exit of the investment.es_ES
